Using Software Logic
Last updated: 13 October 2026
These terms describe the permitted use of the Software Logic website, business management application and referral partner portal. Software Logic is operated by Liam in New Zealand. Use the services in accordance with these terms and applicable law.
Website information and enquiries
Website content, guides and automation estimates provide general information. Estimates depend on the inputs and assumptions used and do not guarantee savings, suitability or project outcomes. A free enquiry or discussion does not commit either party to a paid project.
Paid work requires an agreed proposal or other written agreement covering scope, pricing, GST treatment, payment, delivery and any project-specific obligations. Where an agreed contract addresses the same matter, that contract governs the project.
Accounts and authorised access
Administrator access is private. Partner accounts are available only to approved referral partners. Keep sign-in links, sessions, authenticator codes and credentials secure, and notify Liam promptly if you suspect unauthorised access.
You must not share an account without authorisation, impersonate another person, access another partner’s records, bypass access controls or interfere with the application. We may suspend or disable access to protect information, investigate misuse or end an inactive or unauthorised relationship.
Information you provide
Provide accurate information and share only information you are entitled to disclose. Do not submit passwords, API keys, unlawful material or unnecessary confidential third-party information through public forms. You remain responsible for obtaining any permission needed to introduce a client or share their details.
Our privacy policy explains how personal information and authorised Google Workspace data are handled. Connecting a Google mailbox requires the account owner’s authorisation. Google access can be revoked through Google account or Workspace controls.
Referral programme
Referral arrangements require Software Logic’s approval. Unless a different policy is agreed in writing, the default commission is 10% of the initial referred project’s eligible service value, excluding GST and third-party or pass-through costs, capped at NZ$750 per project.
A lead, quote or project entry does not by itself make a commission payable. Under the default policy, the full eligible service amount must have been paid by the client before commission becomes payable. Subsequent projects do not automatically earn a referral commission.
Portal figures may be estimated until the project value and payment conditions are confirmed. Agreed changes, cancellations and recorded payments are reflected in the project’s history. The applicable policy is recorded for the project; changing the default policy does not silently change existing agreements.
Recording a payment in the application documents a payment made separately; the application does not transfer funds. Partners should contact Liam about discrepancies in referral or payment records.
Permitted use of materials
You may read and use publicly provided guides for your own business evaluation. Software Logic’s branding and materials remain protected by applicable intellectual property rights. Do not resell them, misrepresent their authorship or use the branding to imply an endorsement without permission. Ownership and licensing for commissioned software are addressed in the relevant project agreement.
Availability and third-party services
We aim to keep the application accurate and available, but maintenance, faults or third-party interruptions may affect access, notifications or email delivery. Google Workspace, Resend and other providers apply their own account rules and service limits. Contact Liam if a notification, sign-in link or payment record appears incorrect.
Features may be updated as the service develops. Material changes affecting an active project or agreed referral arrangement will be addressed through the applicable agreement rather than silently changing historical records.
Responsibilities and legal rights
Use appropriate judgement when relying on website information or estimates. Each party remains responsible for its obligations under applicable law and any agreed contract. These terms do not exclude or limit rights or remedies that cannot lawfully be excluded, including applicable rights under New Zealand consumer and fair trading legislation.
Questions, disputes and changes
Contact Liam at liam@softwarelogic.co.nz or +64 20 4121 3377 to raise a question or resolve a concern. These terms are governed by New Zealand law, subject to any mandatory legal rights or separately agreed dispute provisions.
Updates will be published on this page with a revised date. New terms do not retrospectively override existing written project or referral agreements.
